The following terms and conditions govern the American Association of Private Lenders (AAPL)® Membership and the benefits available thereunder (the “AAPL Membership”). These membership terms and conditions (the “Terms and Conditions”) are made between American Association of Private Lenders, Inc. (“AAPL”), with executive offices at 118 N Conistor Ln, Ste B, Box 509, Liberty, MO 64068 and the person registering for membership. (“you” or the “Member”).

  1. Description of AAPL Membership. Each Member is entitled to receive discounts and other benefits on specified private lending services and other products offered by participating vendors or partners. (“Member Benefits”)
    1. Member Benefits are accessible online at https://aaplonline.com (“Members Website”). To access Member Benefits or information related to Member Benefits or the AAPL from the Members Website, a Member will be required to log in with their registered email address and password.
    2. All Member Benefits are subject to discontinuation, change, modification, improvement or substitution without notice and AAPL makes no representations or warranties with respect to, and accepts no responsibility or liability for, out of date or erroneous information related thereto.
  2. Membership Term; Renewals. A Member shall be entitled to all of the Member Benefits, commencing on the date of the Member’s registration through the ensuing 365 days, and for each 365 day renewal period thereafter (the “Membership Term”). AAPL reserves the right, at its sole discretion, to change these Terms and Conditions at any time, with or without notice to any Member. AAPL reserves the right, at its sole discretion, to cancel Membership at any time during the Membership Term via electronic notice to the Member’s registered email address.
  3. Electronic Disclosure and Consent. Your submission of an electronic registration shall constitute your consent to receive any and all disclosures, notices and other communications including any notice that may be legally required to be provided to you regarding these Terms and Conditions, in electronic form. AAPL will provide all future disclosures and notices by sending an alert to the electronic mail address that you have provided.
    At your request, AAPL agrees to provide you with a paper copy of any amendments to this Agreement but AAPL will charge you a processing fee and a shipping fee for such service. You may request paper copies of required notices by sending such request to Attn: Membership, AAPL, 118 N Conistor Ln, Ste B, Box 509, Liberty, MO 64068.

    1. You have the right to withdraw this consent, but if you do AAPL will immediately terminate your Membership and Member Benefits. To withdraw your consent, please contact AAPL by sending such request to Attn: Membership, AAPL, 118 N Conistor Ln, Ste B, Box 509, Liberty, MO 64068 or e-mailing AAPL at contact@aaplonline.com.
    2. In order for you to access and retain this information, your system must meet the following requirements: (1) A PC or Macintosh compatible computer or other Internet-ready device, (2) Internet Access, (3) An Internet browser such as Chrome, Firefox, or Edge, or another such equivalent Internet browser. Your registration shall constitute your acknowledgement that you have access to the software and hardware necessary to receive via electronic means these disclosures and notice of any changes to the software and hardware requirements.
    3. It is your responsibility to maintain accurate contact information in your member account and contact AAPL immediately if your electronic or US postal mail address changes and you are unwilling or unable to update the information online. You can contact AAPL to inform AAPL of such changes at contact@aaplonline.com.
  4. AAPL Membership Fee; Renewal Fees. AAPL will not be responsible for any fees or penalties associated with insufficient funds, bounced checks or any other form of fee due to a charge of the Membership Fee to a debit or credit card provided by the Member.
  5. Payment; Automatic Renewal. Member agrees to be charged at the time of renewal. Membership will be renewed automatically and billed to the supplied credit card on your previous Membership Term’s expiration date until you cancel the service. You may cancel at any time by following the procedure described in our Right to Cancel below. The annual membership plans are renewed automatically based on 365-day intervals.
  6. Right to Cancel; Refund of AAPL Membership Fee. Members have the right to terminate their membership in the AAPL at any time. A Member may cancel membership via e-mail to contact@aaplonline.com; or by sending such request to Attn: Membership, AAPL, 118 N Conistor Ln, Ste B, Box 509, Liberty, MO 64068. If Member cancels their membership before the end of a Membership Term for which Member has paid the Membership Fee, the Member will not receive a refund of such Membership Fee nor any portion thereof, and will retain Member Benefits until the end of their Membership Term. The Member will be removed from the automatic renewal. Automatic renewal cancellations must be received seven days prior to Member Term expiration date. If Member feels that they have been billed multiple times for one Membership Term, Member should promptly send notice of such, including all membership contact details, billing dates, transaction details and the credit card and/or debit card number that it was billed to Attn: Accounting, AAPL, 118 N Conistor Ln, Ste B, Box 509, Liberty, MO 64068 or to contact@aaplonline.com.
  7. Disclaimer of Liability. Vendors. AAPL shall have no liability in regard to any services provided, or to be provided, by any third-party sponsor, affiliate, and/or vendor (“Vendor”). AAPL shall have no liability in regard to any Member Benefits provided, or to be provided, by any Vendor. Member agrees that claims with regard to services shall be made against the Vendor providing or performing such services and not AAPL. Member understands and acknowledges that AAPL cannot force vendors to provide any product, service or promotion and that Vendors are free to run their businesses as they see fit and begin/halt such efforts at their own discretion.
    Accordingly, all products, services, advice, merchandise and information available to members are provided on an “As is”, “As available” basis without warranties of any kind, either express or implied, including but not limited to, warranties of title or implied warranties of merchantability or fitness for a particular purpose. Without limiting the above, no warranty or guaranty is given regarding the completeness, accuracy, reliability or quality of any information, content, data, service, advice, service, product or merchandise provided or available to, or purchased by members through the benefits website or otherwise through his or her membership in the AAPL service.
  8. AAPL Member Representation and Obligations. In return for the Member Benefits, Member acknowledges obligations to AAPL as follows:
    1. Member agrees the Member Benefits are not assignable without the express written consent of AAPL.
    2. Member will use their Membership status only for professional use or for the benefit of Member’s company as registered through the AAPL Membership.
    3. Member understands that to receive and use Member Benefits, including but not limited to the Member Emblem, Directory Profile, and Member Verification, each company name and/or brand identity wishing to use such Member Benefits must be registered separately. AAPL treats different company names and/or brand identities as separate companies, regardless of DBA status or entity structure.
    4. Member asserts they will display the Proud Member Emblem as provided for use by AAPL. Member understands that AAPL’s standalone trademarked wordmark is authorized for AAPL use only or other authorizations as provided in writing on a case-by-case basis. Member further understands that none of these Terms or Conditions constitute AAPL authorization in writing to use our standalone trademarked wordmark.
    5. Member agrees not to share any proprietary information supplied by AAPL, including but not limited to their membership login, coupon codes, discounts, and/or incentives to any third party, individual, entity, or institution; excepting the membership login for use to access the Member Job Posting service for the purpose of posting a job on behalf of Member’s registered company.
    6. Member will adhere to AAPL’s Code of Ethics, which is accessible at https://aaplonline.com/ethics. Member understands that:
      • AAPL, at its sole discretion and/or with advice from its Ethics Committee will review and determine if Member has violated the Code of Ethics.
      • Members found to be in violation of AAPL’s Code of Ethics are subject to temporary or permanent revocation of Member Benefits. Member will not receive a refund of membership fees nor any portion thereof.
      • Members whose AAPL membership have been revoked may petition for reinstatement at the completion of the revocation period. It is at AAPL’s sole discretion to reinstate the Member.
  9. Request, Authorization, Consent, and Release of Background Information for vCheck Verified Individual, vCheck Verified Premier, vCheck Verified Corporate, and vCheck Verified Corporate Plus membership levels.
    1. Member understands that in connection with application for vCheck member status these consumer reports (investigative consumer reports in California) may include the following types of information: names and dates of Member’s previous employers, salary, work experience, education, accidents, licensure, credit (in California if compliant with AB-22), etc. Member further understands that such reports may contain public records information such as, but not limited to: Member driving record, workers’ compensation claims, judgments, bankruptcy proceedings, criminal records, etc., from federal, state and other agencies which maintain such records. In addition, investigative consumer reports as defined by the Federal Fair Credit Reporting Act, gathered from personal interviews with former employers and other past or current associates of Member to gather information regarding Member’s work performance, character, general reputation and personal characteristics may be obtained.
      MEMBER AUTHORIZES, WITHOUT RESERVATION, ANY PARTY OR AGENCY CONTACTED BY THE CONSUMER REPORTING AGENCY TO FURNISH THE ABOVE-MENTIONED INFORMATION.
      Member may have the right to make a request to the consumer reporting agency: Vcheck Global LLC; 5670Wilshire Blvd, Suite 1530, Los Angeles, CA 90036 • 888-740-0747 (“Agency”), upon proper identification, to request the nature and substance of all information in its files on Member at the time of Member request, including the sources of information and the agency, on our behalf, will provide a complete and accurate disclosure of the nature and scope of the investigation covered by the investigative consumer report(s); and the recipients of any reports on Member which the agency has previously furnished within the two year period for employment requests, and one year for other purposes preceding Member’s request (California three years). Member may view their privacy policy by contacting info@vcheckglobal.com. By registering for vCheck Verified Individual, vCheck Verified Premier, vCheck Verified Corporate, or vCheck Verified Corporate Plus membership, Member authorizes procurement of a consumer & investigative consumer report.
    2. Member understands that AAPL will receive a copy of the consumer report, and that AAPL will review the report’s contents. Member understands that AAPL may at its discretion have its Ethics Committee members review the report contents. If the contents are found to be in violation of AAPL’s Code of Ethics as published at https://aaplonline.com/ethics, AAPL may pursue remedies as outlined in section 8 AAPL Member Representation and Obligations..
  10. Governing Law; Arbitration. These Terms and Conditions, and the respective rights and obligations of the parties hereunder, shall be governed by, and construed in accordance with, the laws of the State of Florida. Any dispute arising between you and AAPL will be submitted to arbitration in the State of Florida in accordance with the rules of the American Arbitration Association then in effect. Nothing herein stated shall deprive you of the benefits of your state’s consumer protection laws.
  11. General Release. Each Member, for himself/herself, and on behalf of any person who uses the Member Benefits available through the AAPL Membership (“Membership Beneficiary”), hereby forever releases, acquits and discharges AAPL from any and all liabilities, claims, demands, actions and causes of action that such Member or such Member’s legal representatives may have by reason of any monetary damage or personal injury sustained as a result of or during the use of any and all Member Benefits available through the Membership Term. The sole recourse available to a Member, Membership Beneficiary, or their legal representatives shall be the cancellation of the Membership.
  12. Receipt of Mail.  AAPL cannot guarantee that it receives any mail or electronic communication that Member claims to have sent. Member should, at Member’s own expense, send any notices to AAPL via UPS, USPS Return Receipt Requested, and/or USPS Certified Mail.
  13. Entire Terms and Conditions. The foregoing Terms and Conditions contain the entire terms and conditions in connection with Member’s participation in the AAPL and no representations, inducements, promises or agreement, or otherwise, between AAPL and the Member not included herein, shall be of any force or effect. If any of the foregoing terms or provisions shall be invalid or unenforceable, the remaining terms and provisions hereof shall not be affected.
  14. Binding Effect. The foregoing Terms and Conditions shall be binding upon and inure to the benefit of AAPL and the Member as well as their respective successors and permitted assigns.
